O.: — It's better, but we expected at least a 4 % discount.

G.: — Let us make some calculations.... 3 % and no more, Mr Orson. Even these results leave only a very small profit for us.

O.: — But I'm afraid, Mr Grindstone, that at this time we can't raise the sum of the Contract. Would you take risks and sign our first contract if we find you new customers in CIS countries in the nearest future?

G.: —Well, that's reasonable. But this price is final. Now the terms of payment. We accept: Cash, Letter of Credit, Telex Transfer or Certified Check (наличные, аккредитив, перевод по телексу или заверенный чек).

5. Force Majeure 5.1. Force Majeure shall comprise any circumstances beyond the reasonable control of either party which prevent the performance of the present Contract.   5.2. If these circumstances are valid for a period of more than three months than the present Contract may be terminated by either party. The termination will not affect any obligation to pay any money. 5. 6. Governing Law 6.1. The parties agree to do their best to settle any disputes arising out of the present Contract. Any dispute arising out of the present Contract including any questions regarding its existence, validity or termination shall be finally received by arbitration according to English legislation. 6. 7. Other conditions 7.1. All amendments, supplements and enclosures to this Contract are valid only if made in writing and signed by the authorized persons.   7.2. After signing the present Contract all the preliminarynegotiations and correspondence on it are to be considered invalid.   7.3. The present Contract is drawn up in Russian and English languages in two copies, each of them being equally valid.     7.4. This Contract shall come into force after exchange of the signed copies by fax, and in force until 31.12.2011 7. В справочнике «Инкотермс» все условия поставки разделены на 4 группы:

1. “E” содержит одно условие – Ex works, по которому единственная обязанность продавца – обеспечить товар на месте его изготовления или складирования.

2. “F” – продавец обеспечивает поставку товара вплоть до транспортного средства, назначаемого покупателем.

3. “C” – продавец оплачивает транспортировку (со страховкой или без нее).

4. “D” – продавец несет все расходы, берет на себя все риски вплоть до поставки товаров до места назначения.
