Rentals and Terms of Payment

3.1. Rental payment for the summer house is a rouble amount equal to US $

___ per month as per the rate of exchange at the moment of payment. Both parties have come to the agreement that this amount will be final and fixed except payments for gas and electricity which shall also be paid by Tenant during the tenancy term.

3.2. The rentals are payable on monthly basis in advance by the 9th day of
every month which is paid for.

Term of the Contract

4.1. The term of the contract is established from ____ until _____inclusive.

4.2. The contract can be extended to ___ at the option of the Tenant. If so extended the rent for this period shall be a rouble amount equal to US $ __per month as per the rate of exchange at the moment of payment. Special attachment to this contract should be signed by all parties to confirm such an extension.

Alteration of the Conditions. Termination of the Contract

5.1. Conditions of the contract can be changed if agreed by all parties in
writing.

5.2. Tenant has the right to terminate the contract by written notice to Landlord thirty days in advance of the estimated date.

5.3. Provided Tenant fulfils all the obligations, Landlord has no right to
terminate the contract before its final date as it is set out in p. 4.1 except for circumstances which make further renting impossible. If it happens Landlord notifies Tenant in writing one month in advance. Tenant does not pay rental for this month.

5.4. Early termination of the contract by one of the parties is possible if the other party does not fulfill its obligations. In this case the guilty side is penalized in the amount of one month rental payment.

Supplements and Changes of the Contract

Supplements and changes to the contract are to be done in writing, in the form of attachments and are part and parcel of the present contract.

Other Provisions

7.1. All the disputes which are not covered by the contract should be sold according to the Russian legislation.

7.2. The contract is made in three copies with equal legal validity.

7.3. The Contract comes into force on the date of its signature.

CONTRACT 6

Agency service and compensation agreement

This agreement is made between «_____», USA, with offices in Moscow, Russia (hereinafter «X»), and «_____»,New York, USA, (hereinafter «Firm»). The Agreement describes the services which the «Firm» will provide to «X» and the compensation fees which the «Firm»will receive from «X» in consideration for said services as follows:

Services

The «Firm» agrees to create and conduct an advertising campaign in the Russian markets on behalf of «X». In connection with this campaign the «Firm» will provide the following services: account management, creative and production services, media planning and placement as well as generally coordinate and manage all aspects of the campaign.

Fees and Terms of Payment

«X» agrees to pay the «Firm» US $____, which is 10 percent from the total budget of the campaign exclusive of VAT, in consideration for the above-mentioned services. This sum being due and payable in six equal monthly installments commencing March 15, ____ with last payment being due August 15, _____ to «Firm's» principal offices, New York, USA.

«X» agrees to prepay the «Firm» 50 percent of any and all production costs, the other 50 percent being payable on completion of production, and prepay 100 percent of media placement costs and to reimburse at cost for any direct out-of-pocket expenses incurred by the «Firm», which are attributable to the campaign.

Confidentiality

The «Firm» and its employees will honor the confidentiality of all proprietary information divulged to it by «X». We deem all information as extremely confidential and shall not disclose any such confidential information to any third parties not associated with «X», including outside industry professionals, family members and friends, and will not use such proprietary information other than on «X's» behalf and with its express permission.

Cancellation

If any part of the campaign is cancelled by «X» after consummation of this Agreement but before payment of the sum as mentioned in Paragraph 2 above, «X» agrees to compensate the «Firm» for all services performed and expenses incurred up to the date on which the cancellation will become effective. Any such cancellation should be notified in writing thirty days prior to the proposed day of termination.

This Agreement is to be effective as of the date signed.
